The rules that govern how you use Naya.
1. Introduction and Acceptance
These Terms and Conditions ("Terms") constitute a binding legal agreement between you ("User", "you", or "your") and Usenaya Ltd ("Naya", "we", "us", or "our"), governing your use of the Naya platform — an AI-powered financial assistant accessible via WhatsApp that enables money transfers, bill payments, airtime top-ups, cryptocurrency purchases, and stablecoin transactions.
By initiating a conversation with Naya on WhatsApp, completing our KYC process, or executing any transaction through the platform, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety, including our Privacy Policy, AML/KYC Policy, and Security Policy. If you do not agree with any part of these Terms, you must immediately cease using the platform.
2. Eligibility
To use Naya, you must:
- Be at least 18 years of age
- Be a resident of a jurisdiction in which Naya's services are lawfully permitted, currently Nigeria
- Have the legal capacity to enter into binding contracts under applicable law
- Provide accurate, complete, and current information during registration and at all times thereafter
- Maintain ongoing compliance with all applicable laws and regulations
Naya reserves the right to verify your eligibility at any time and to suspend or terminate access where eligibility requirements are not met.
3. Account Registration and KYC
Access to Naya's full features requires completion of our Know Your Customer (KYC) process via WhatsApp. You must submit your BVN or NIN and a valid government-issued photo ID. The process takes approximately five minutes and is conducted entirely in chat.
You are solely responsible for maintaining the confidentiality of your WhatsApp account and any access credentials. You must notify us immediately at support@usenaya.com if you suspect unauthorised access to your account.
Naya reserves the right to suspend or terminate accounts where suspicious activity is detected or where KYC information cannot be verified.
4. Services
Naya currently provides the following services in Nigeria, subject to availability and applicable limits:
- Domestic money transfers via NIP/NIBSS rails
- Airtime and mobile data top-ups for all major Nigerian networks
- Bill payments including electricity tokens, DSTV, GoTV, and 10,000+ billers
- Cryptocurrency purchases including USDT, USDC, and BTC at live market rates
- Stablecoin transfers and off-ramp to Nigerian bank accounts
- AI-powered spending insights and budget management
Service availability, transaction limits, and supported features may change over time. We will notify you of material changes via WhatsApp.
5. Transaction Confirmation and Finality
Before executing any financial transaction, Naya will display a summary showing the recipient, amount, applicable fees, and expected delivery time. You must confirm this summary before the transaction is processed.
Once confirmed, transactions are generally final and cannot be reversed. You are solely responsible for verifying all transaction details before confirmation. Naya bears no liability for losses arising from incorrect details entered by the user.
6. Fees and Charges
Naya charges fees for certain transactions, including but not limited to transfer fees, crypto trading spreads, and bill payment service charges. The applicable fee will always be displayed clearly before you confirm any transaction.
We reserve the right to modify our fee structure. Material changes to fees will be communicated at least seven (7) days in advance via WhatsApp. All fees are non-refundable unless required by applicable law or where a transaction fails due to a platform error.
7. Cryptocurrency and Stablecoin Transactions
Cryptocurrency and stablecoin transactions carry inherent risks including, but not limited to:
- Significant price volatility
- Regulatory risk
- Technology risk including irreversible blockchain transactions
- Market liquidity risk
You acknowledge that you are transacting in digital assets at your own risk and that Naya does not guarantee any specific returns or outcomes. You should only transact with funds you can afford to lose.
Naya is a non-custodial platform for crypto transactions. We do not hold your digital assets directly; transactions are routed through licensed infrastructure partners.
8. User Obligations
By using Naya, you agree to:
- Provide accurate and truthful information at all times
- Use the platform only for lawful purposes and in compliance with applicable Nigerian law
- Not use Naya for money laundering, terrorist financing, fraud, or any other financial crime
- Not attempt to reverse-engineer, hack, or interfere with the platform or its AI systems
- Not impersonate another individual or misrepresent your identity
- Not use the platform to conduct transactions on behalf of third parties without disclosure
Violation of any of these obligations may result in immediate account suspension, termination, and/or referral to law enforcement authorities.
9. Intellectual Property
All intellectual property in the Naya platform — including its AI assistant, software, branding, logos, user interface, and proprietary algorithms — is owned by or licensed to Usenaya Ltd and protected under applicable Nigerian and international intellectual property law.
You are granted a limited, non-exclusive, non-transferable licence to access and use the Naya platform for personal, non-commercial purposes. You may not copy, modify, distribute, or attempt to extract the source code of any part of the platform without prior written authorisation.
10. Disclaimer of Warranties
The Naya platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be available at all times or free from errors or interruptions, that AI-generated transaction parsing will be error-free in all cases, or that any financial instrument available through the platform will perform as expected.
You use the platform at your own risk. Naya does not provide financial advice. Nothing communicated through the platform constitutes investment advice.
11. Limitation of Liability
To the maximum extent permitted by Nigerian law, Naya's aggregate liability for any claim arising from these Terms or your use of the platform shall not exceed the total transaction fees paid by you to Naya in the one (1) month immediately preceding the event giving rise to the claim.
Naya expressly excludes liability for:
- Investment losses or losses arising from cryptocurrency price movements
- Losses arising from your provision of incorrect transaction details
- Service interruptions caused by WhatsApp, payment rail downtime, or events beyond our reasonable control
- Regulatory changes affecting the availability or value of digital assets
- Actions of third-party service providers including banking partners, wallet providers, and blockchain networks
12. Termination
Naya may suspend or terminate your access to the platform at any time, with or without notice, including for violation of these Terms, suspected fraudulent, illegal, or abusive activity, failure to complete or maintain KYC requirements, or regulatory requirements and directives from competent authorities.
Upon termination, any funds held or in transit through Naya's regulated partner infrastructure will be returned to you subject to applicable laws and any ongoing investigations.
13. Indemnification
You agree to indemnify, defend, and hold harmless Usenaya Ltd, its officers, directors, employees, and partners from any claims, liabilities, losses, or expenses, including reasonable legal fees, arising from your use of the platform, your violation of these Terms, your violation of any applicable law or third-party right, or any transaction you initiate through the platform.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms that cannot be resolved amicably within thirty (30) days shall be referred to arbitration under the Arbitration and Mediation Act, 2023.
Arbitration shall be conducted by a single arbitrator in Lagos, Nigeria, in English. The arbitral award shall be final and binding on both parties.
15. Amendments
We may amend these Terms from time to time. Material changes will be communicated via WhatsApp with reasonable advance notice. Continued use of the platform after the effective date of any amendment constitutes acceptance of the revised Terms.
